These Terms of Service (“Terms”) govern your access to and use of the websites, software, and services provided by Cobalt Cypress LLC (“Cobalt Cypress,” “we,” “us,” or “our”), including Estimate Mirror (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

By creating an account, submitting a form, or otherwise using our Services, you represent that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to be bound by them. If you are using the Services on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Services

Cobalt Cypress LLC provides software-as-a-service (SaaS) products for the automotive collision repair industry, including Estimate Mirror, an OCR-based data extraction tool that processes automotive repair estimates. The Services are subject to change, and we reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

3. Account Registration and Security

To access certain features of our Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@cobaltcypress.com of any unauthorized use of your account.

4. Subscription and Payment

Access to paid features of our Services requires a subscription. Subscription fees are billed on a monthly basis and are non-refundable except as required by law or as expressly set forth in a separate agreement. We reserve the right to change pricing with at least 30 days’ notice. You may cancel your subscription at any time; cancellation takes effect at the end of the then-current billing period.

5. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable law or regulation
  • Infringe the intellectual property rights of any third party
  • Transmit harmful, unlawful, or fraudulent content
  • Reverse engineer, decompile, or disassemble any part of our software
  • Attempt to gain unauthorized access to our systems or other users’ accounts
  • Use the Services in a way that damages, disables, or impairs our systems
  • Resell or sublicense access to the Services without written authorization

6. SMS Communications

By providing your phone number and opting in to SMS messages, you agree to receive text messages from Cobalt Cypress LLC as described in our Privacy Policy. We operate two SMS programs:

  • Transactional SMS: Demo confirmations, service notifications, and account updates
  • Marketing SMS: Promotional and product information (requires separate opt-in)

Message frequency may vary. Standard message and data rates may apply. Reply STOP to opt out at any time. Reply HELP for assistance. SMS consent is not shared with third parties.

7. Intellectual Property

All content, features, software, and functionality of our Services, including but not limited to text, graphics, logos, and code, are owned by Cobalt Cypress LLC and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

You retain ownership of any data you upload to our Services. By uploading data, you grant us a limited, non-exclusive license to process that data solely to provide the Services to you.

8. Data and Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the data practices described in our Privacy Policy.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COBALT CYPRESS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cobalt Cypress LLC and its members, officers, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, if we believe you have violated these Terms. Upon termination, your right to use the Services immediately ceases.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in South Carolina, and you consent to the personal jurisdiction of such courts.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cobalt Cypress LLC regarding your use of the Services and supersede all prior agreements and understandings.
